1. About BlogDrip

BlogDrip is operated by:

References to “BlogDrip”, “we”, “us” or “our” mean BLOGDRIP LTD.

A “Publisher” means a user or Account that registers or lists one or more Websites for publishing or selling placements through BlogDrip.

An “Advertiser” means a user or Account that purchases a placement.

2. Relationship with the General Terms

These Publisher Terms supplement the BlogDrip Terms & Conditions.

The Terms & Conditions continue to apply to your Account and use of the Service.

Where these Publisher Terms contain specific provisions concerning:

• publishing;
• Marketplace listings;
• placements;
• commissions;
• escrow;
• refunds;
• Publisher payouts;

these specific provisions apply to your activities as a Publisher.

Mandatory applicable law continues to apply.

3. BlogDrip’s Role

BlogDrip provides technology and infrastructure through which Publishers can offer placements and Advertisers can purchase them.

For placements offered by independent Publishers, the Publisher is responsible for:

• the destination Website;
• the accuracy of the listing;
• fulfilling publication obligations;
• maintaining agreed placements.

BlogDrip may facilitate:

• Website listings;
• Advertiser orders;
• content delivery;
• automated publication;
• manual publication workflows;
• payment collection;
• E-Cash Wallet transactions;
• escrow;
• commission calculations;
• Publisher payouts;
• placement monitoring;
• expiry and renewal;
• disputes.

Unless expressly stated otherwise, BlogDrip does not own or operate Websites belonging to independent Publishers.

4. Publisher Eligibility

You may register or list a Website only if you:

• own the Website; or
• have sufficient authority from its owner to manage and publish content on it.

By registering a Website, you represent that you have the necessary authority to offer placements on it.

You must not register a Website without the knowledge or permission of its owner.

BlogDrip may request information reasonably necessary to verify your authority.

5. Registering a Website

When registering a Website, you must provide accurate and current information.

This may include:

• Website name;
• Website URL;
• language;
• niche;
• categories;
• publication prices;
• minimum article length;
• image requirements;
• permitted outgoing links;
• link requirements;
• publication restrictions.

You are responsible for keeping this information accurate.

Information supplied about your Website may be displayed to Advertisers through the BlogDrip Marketplace.

6. Website Approval

Registering a Website does not automatically make it available to Advertisers.

New Websites may require approval by BlogDrip before becoming visible in the Marketplace.

We may approve or reject a Website based on factors relevant to the operation, quality, integrity or security of the Marketplace.

A rejected Website may remain in your Account while being hidden from Advertisers.

Where functionality permits, you may correct relevant issues and request review again.

BlogDrip may withdraw approval where a Website no longer satisfies Marketplace requirements.

7. Marketplace Visibility

A Website will generally be available to Advertisers only while it is:

• active;
• online;
• approved;
• technically able to receive or process placements where required.

A Website may temporarily disappear from Marketplace results where these requirements are not met.

Marketplace visibility is not guaranteed.

8. Website Identity

The URL and identity of a registered Website are used to associate placements, transactions, publication records and Publisher payouts with the correct destination.

A Website’s URL and display name may therefore be restricted from modification after registration.

If a Website permanently moves to another domain or is replaced by a materially different Website, you may be required to deactivate the existing listing and register a new Website.

You must not transfer the history, reputation or metrics of one Website to an unrelated Website.

9. Plugin Websites

A Plugin Website is a WordPress Website connected to BlogDrip through a supported BlogDrip Plugin.

The Plugin may enable BlogDrip to automatically:

• create posts;
• update posts;
• publish links;
• update links;
• remove posts;
• remove links.

You are responsible for maintaining:

• your WordPress installation;
• the BlogDrip Plugin;
• your hosting environment;
• the technical availability of the Website.

Certain functionality may require a minimum supported Plugin version.

10. Manual Websites

A Manual Website does not use a functioning BlogDrip Plugin for the relevant publication.

For Manual Websites, the Publisher is responsible for:

• publishing the supplied content manually;
• implementing the correct links;
• complying with the order requirements;
• providing the live publication URL where requested.

Different fees, publication rules and placement durations may apply to Manual Websites.

11. Publisher Requirements

You must maintain accurate information about each listed Website.

You are responsible for setting or confirming applicable requirements, including:

• accepted categories;
• language;
• minimum word count;
• feature-image requirements;
• maximum outgoing links;
• permitted anchor links;
• dofollow or nofollow requirements;
• available placement types;
• pricing.

Advertisers may rely on this information when placing an order.

If your requirements change, you should update them before accepting new orders.

12. Website Metrics

BlogDrip may display metrics or other information relating to Publisher Websites.

Some information may originate from third-party analytics, SEO or measurement providers.

You must not deliberately provide, manipulate or misrepresent information concerning:

• Website traffic;
• authority metrics;
• audience;
• ownership;
• language;
• niche;
• publication history;
• other relevant Website characteristics.

BlogDrip does not guarantee the accuracy or continued availability of metrics supplied by third-party providers.

13. Pricing

Publishers may set a base price for eligible placements through the functionality made available by BlogDrip.

Different prices may apply according to:

• Website;
• category;
• placement type.

The applicable price is determined by the pricing shown when the Advertiser confirms the order.

Changes to pricing generally apply to future transactions only.

14. BlogDrip Commission

BlogDrip charges commission for Marketplace transactions.

Commission may differ according to:

• placement type;
• Website type;
• Plugin or Manual publication;
• Publisher Account;
• transaction value;
• individual commercial arrangements.

The platform currently uses default Advertiser commission rates including:

• 25% for eligible blog placements on Plugin Websites;
• 35% for eligible blog placements on Manual Websites;
• 25% for eligible link placements.

Different formulas may apply above configured transaction thresholds.

The amount displayed when the transaction is confirmed governs that transaction.

BlogDrip may change commission structures for future transactions.

15. Publisher Earnings

Publisher earnings from completed Marketplace transactions are calculated according to the applicable transaction price and commission structure.

BlogDrip’s applicable commission is deducted before the Publisher amount becomes available.

Publisher earnings credited to an Account are maintained through the applicable BlogDrip E-Cash Wallet.

You should contact BlogDrip if you believe a transaction calculation is incorrect.

16. Orders

When an Advertiser places an order for your Website, the order must comply with the publication requirements configured for that Website.

Depending on the publication workflow, an order may:

• proceed automatically;
• require Publisher approval;
• require manual publication;
• require another processing step.

Where Publisher approval is required, you must review the order reasonably promptly.

17. Accepting and Rejecting Orders

Where BlogDrip provides a Publisher review process, the Publisher may accept or reject an incoming order.

If the Publisher rejects the order before publication, the applicable order amount is refunded to the Advertiser’s BlogDrip E-Cash Wallet.

The refund is not paid to:

• a bank account;
• credit card;
• debit card;
• PayPal;
• cash;
• another external payment method;
• another BlogDrip Account.

The Publisher must provide an appropriate rejection reason where requested.

Once an order has been successfully published, it can no longer qualify for a refund on the basis of Publisher rejection.

18. Publication

Once an order is accepted or otherwise approved for publication, you must ensure that the placement is published in accordance with the order.

For Plugin Websites, publication may occur automatically.

For Manual Websites, you are responsible for publishing the content correctly and providing the live URL where required.

The published placement must materially correspond to the placement purchased by the Advertiser.

19. Publication Integrity

During the agreed placement period, you must not intentionally:

• remove the placement without proper grounds;
• hide the placement from normal Website visitors;
• add a noindex directive contrary to the agreed placement;
• change a dofollow link to nofollow contrary to the order;
• remove purchased links;
• change anchor text contrary to the order;
• redirect purchased links to unrelated destinations;
• materially alter content in a way that undermines the purchased placement.

Normal technical, formatting or editorial changes that do not materially reduce the nature of the placement are not prohibited.

20. Publication Deadline

Where an order is subject to a specified publication period, the Publisher must publish the order within that period.

The applicable publication period may be shown:

• in the Marketplace;
• in the order;
• in the applicable Website settings;
• elsewhere in the BlogDrip platform.

If the Publisher fails to publish the order within the applicable period, the order becomes eligible for an E-Cash refund as described below.

21. Failure to Publish on Time

If the Publisher fails to publish an order within the applicable publication period, the Advertiser is entitled to have the applicable order amount returned to their E-Cash Wallet.

BlogDrip may verify that:

• the publication deadline has expired;
• the placement has not been successfully published;
• the order otherwise qualifies for a refund.

Where applicable, escrowed funds relating to the order will be returned to the Advertiser’s E-Cash Wallet rather than released to the Publisher.

22. Marketplace Refund Conditions

Except where mandatory applicable law requires otherwise, a Marketplace order qualifies for a refund only where:

1. the Publisher rejects the order before publication; or
2. the Publisher fails to publish the order within the applicable publication period.

No other contractual Marketplace refund entitlement applies.

All qualifying refunds are credited exclusively to the Advertiser’s E-Cash Wallet.

A refund is not paid back to:

• the original bank account;
• credit card;
• debit card;
• PayPal account;
• another external payment method;
• another BlogDrip Account.

The refunded E-Cash may be used for eligible future BlogDrip purchases.

23. No Refund After Successful Publication

Once an order has been successfully published, the order is considered delivered and no refund is due.

This remains the case if the Advertiser later:

• changes their mind;
• requests removal;
• no longer wants the placement;
• does not achieve expected SEO results;
• experiences ranking changes;
• does not receive expected traffic;
• does not receive expected leads;
• does not receive expected sales;
• experiences changes in third-party SEO metrics;
• does not obtain search engine indexing;
• later loses search engine indexing.

Successful publication completes the Publisher’s delivery obligation for the purpose of refund eligibility, subject to any separate ongoing placement obligations under these Publisher Terms.

Nothing in this section excludes rights that cannot lawfully be excluded.

24. No Discretionary Marketplace Refunds

Except where required by mandatory applicable law, BlogDrip does not provide discretionary Marketplace refunds outside the two refund situations described in Section 22.

In particular, a refund is not provided merely because of:

• SEO performance;
• ranking changes;
• lack of indexing;
• changes in Website metrics;
• lack of traffic;
• lack of leads;
• lack of sales;
• an Advertiser changing their mind;
• a voluntary removal request after publication.

25. Escrow

When an Advertiser purchases an eligible Marketplace placement, the applicable E-Cash amount may be held in escrow pending delivery.

The Publisher is not entitled to withdraw the funds merely because an order has been created.

Funds become available to the Publisher after applicable delivery and confirmation requirements have been satisfied.

26. Escrow Release

For eligible placements, escrow may be released when:

• the Advertiser confirms successful delivery; or
• the applicable automatic confirmation period expires without a valid issue preventing release.

The platform currently uses an automatic confirmation period of 7 days following publication for relevant transactions.

Once confirmation is complete, the Publisher amount, after applicable commission, becomes available in accordance with BlogDrip’s wallet and payout rules.

27. Escrow and Refunds

Where an order is rejected before publication or is not published within the applicable publication period, any eligible amount held in escrow is returned to the Advertiser’s E-Cash Wallet.

Where an order has been successfully published and the applicable delivery conditions have been satisfied, the escrow may be released to the Publisher.

The original order does not become refundable merely because the Advertiser later becomes dissatisfied with:

• SEO;
• ranking;
• indexing;
• traffic;
• Website metrics;
• commercial results.

28. Manual Placements

Publishers operating Manual Websites must:

1. publish the agreed content on the correct Website;
2. comply with the order requirements;
3. ensure required links are correctly implemented;
4. provide the live publication URL where requested;
5. maintain the placement according to the agreed conditions.

You must not mark an order as delivered if the placement has not actually been published as agreed.

29. Placement Duration

Blog Placements on Manual Websites

Manual blog placements are treated by the current BlogDrip workflow as permanent placements and do not use automatic expiry and renewal.

Blog Placements on Plugin Websites

Blog placements on Plugin Websites may be offered as permanent or annual placements depending on Publisher configuration.

Link Placements

Link placements have a defined subscription period and expiry date.

The applicable duration is displayed when ordering.

30. Expiry

Where a placement has an expiry date, BlogDrip may send advance reminders.

On expiry, BlogDrip may automatically remove the placement from a connected Plugin Website and mark the item as expired.

Expiry reminders are provided as a convenience and do not change the agreed placement period.

31. Renewal

Eligible placements may be renewed.

A renewal constitutes a new transaction at the price and conditions applicable at the time of renewal.

A Publisher’s prices or available categories may have changed since the original order.

Renewal may only be available while the Website remains active and technically capable of supporting the placement.

32. Removal After Publication

Removal of a successfully published placement does not entitle the Advertiser to a refund.

If an Advertiser voluntarily requests removal after publication, the amount paid remains non-refundable.

A Publisher must still comply with applicable placement-duration obligations, but a later removal issue does not automatically convert the original successfully delivered order into a refundable order.

33. Premature Removal by Publisher

A Publisher must not intentionally remove an active paid placement before the end of the agreed placement period without a valid reason.

Premature removal may result in platform enforcement, including:

• reversal or withholding of Publisher earnings;
• suspension of future payouts;
• Website delisting;
• Account suspension;
• Account termination.

Premature removal after successful publication does not automatically create a contractual refund entitlement for the original order unless mandatory applicable law requires otherwise.

BlogDrip may take other appropriate platform measures to enforce Publisher obligations.

34. Website Downtime

You are responsible for maintaining listed Websites.

Temporary technical downtime does not automatically constitute a breach where reasonable steps are taken to restore the Website.

Repeated or prolonged unavailability may result in removal from Marketplace results.

Website downtime after a placement has been successfully published does not automatically create a refund entitlement.

35. Transfers

An existing placement may, where platform functionality permits, be transferred to another eligible Website or category.

This may occur where:

• the original Website becomes unavailable;
• a Website is delisted;
• a category is withdrawn;
• another agreed solution is required.

The price and commission may be recalculated for the new destination.

Any resulting difference may be adjusted through the applicable E-Cash Wallet.

A transfer does not by itself create a refund entitlement.

36. Publisher E-Cash Balance

Eligible Publisher earnings are credited to the Publisher’s E-Cash balance.

Publisher E-Cash may be used for eligible BlogDrip services.

Eligible company Accounts may also be able to request an external Publisher payout subject to the conditions below.

This payout facility applies to qualifying Publisher earnings and must not be confused with Advertiser Marketplace refunds.

37. Publisher Withdrawals

Publisher withdrawals are available only to Accounts that:

• are designated as company Accounts;
• have withdrawal functionality enabled;
• have sufficient eligible available E-Cash;
• satisfy applicable withdrawal requirements.

The current minimum withdrawal requirement is an amount greater than EUR 10.

A withdrawal cannot exceed the eligible available Publisher balance.

BlogDrip currently does not charge a separate Publisher withdrawal fee.

38. Withdrawal Documentation

A Publisher requesting withdrawal must provide documentation required by BlogDrip.

This currently includes:

• an invoice number;
• the corresponding invoice document.

A withdrawal request may be rejected where required documentation is missing, incomplete or inconsistent.

Publishers are responsible for ensuring their invoices and tax documentation comply with applicable law.

39. Withdrawal Review

When an eligible Publisher withdrawal request is submitted, the requested amount is reserved from the Publisher’s available balance while the request is reviewed.

This prevents the same balance from being spent or withdrawn twice.

If approved, BlogDrip processes the Publisher payout using the applicable payout details.

If rejected, the reserved amount is returned to the Publisher’s available E-Cash balance, subject to any lawful withholding or adjustment.

A Publisher payout is a payment of Publisher earnings and is not a refund.

40. Delayed or Withheld Publisher Withdrawals

BlogDrip may reasonably delay, reject or withhold a Publisher withdrawal where necessary to investigate or resolve:

• an open Marketplace issue;
• a chargeback;
• suspected fraud;
• incorrect payout information;
• incomplete documentation;
• an unresolved compliance matter;
• a material breach of these Terms;
• amounts properly owed to BlogDrip.

Banking and payment-processing times are outside BlogDrip’s direct control.

41. Advertiser Refunds vs Publisher Withdrawals

A Publisher payout and an Advertiser refund are separate mechanisms.

Publisher earnings may be eligible for external withdrawal under these Publisher Terms.

Advertiser Marketplace refunds are credited exclusively to E-Cash and remain platform balance, except where mandatory applicable law requires otherwise.

The existence of Publisher withdrawal functionality does not give Advertisers a right to withdraw Marketplace refunds.

42. Taxes and Publisher Responsibilities

Publishers are responsible for determining and complying with their own:

• tax obligations;
• accounting obligations;
• invoicing requirements;
• bookkeeping requirements;
• cross-border reporting obligations.

BlogDrip may request information reasonably necessary for billing, tax, compliance or payout purposes.

Nothing provided through BlogDrip constitutes tax or accounting advice.

43. Content Rights

The Advertiser or content provider retains the intellectual property rights it holds in content submitted for publication.

As a Publisher, you receive the rights necessary to display the content on the agreed Website for the applicable placement period.

You must not sell, republish, sublicense or otherwise exploit Advertiser content beyond what is reasonably required to provide the placement unless separately authorised.

44. Publisher Content Restrictions

Publishers may configure reasonable publication requirements and restrictions through options made available by BlogDrip.

You are responsible for ensuring your requirements comply with applicable law.

If you accept an order complying with requirements shown to the Advertiser, you should not subsequently reject it because of an undisclosed requirement.

BlogDrip may establish platform-wide restrictions that override individual Publisher preferences.

45. Prohibited Publisher Conduct

You must not:

• list a Website you do not own or control;
• falsely claim authority to publish on a Website;
• misrepresent Website traffic, authority, metrics, language or niche;
• create duplicate listings to manipulate Marketplace visibility or pricing;
• accept payment for a manual placement and deliberately fail to deliver it;
• remove a paid placement contrary to its agreed duration;
• secretly hide or noindex a placement;
• alter agreed link attributes without justification;
• manipulate confirmation or rejection functionality;
• use false information to obtain Publisher payouts;
• engage in fraudulent transactions;
• misuse another user’s content;
• interfere with BlogDrip monitoring or publication systems;
• circumvent the BlogDrip Marketplace.

46. Platform Circumvention

Publishers must not use the BlogDrip Marketplace to identify an Advertiser and then intentionally move the introduced placement transaction outside BlogDrip for the purpose of avoiding BlogDrip fees or commission.

A breach may result in:

• Website delisting;
• transaction adjustments;
• Account suspension;
• Account termination.

47. Disputes

Advertisers may raise issues concerning placements through the functionality made available by BlogDrip.

When reviewing an issue, BlogDrip may examine:

• the original order;
• submitted content;
• Website requirements;
• publication status;
• live URLs;
• Plugin reports;
• link checks;
• transaction records;
• relevant Service communications.

Publishers agree to reasonably cooperate with legitimate investigations.

48. Dispute Outcomes

A dispute or complaint does not automatically create a refund entitlement.

For Marketplace refund purposes, the refund rules in Section 22 continue to apply.

Accordingly, except where mandatory applicable law requires otherwise, an E-Cash refund is available only where:

1. the Publisher rejected the order before publication; or
2. the Publisher failed to publish the order within the applicable publication period.

BlogDrip may still take other proportionate platform actions to address Publisher misconduct or enforce placement obligations.

These may include:

• withholding Publisher funds;
• adjusting Publisher earnings;
• requiring corrective publication;
• suspending a Website;
• terminating Publisher access.

49. Monitoring Publisher Websites

BlogDrip may automatically monitor registered Websites for operational and Marketplace purposes.

This may include checking:

• whether the Website is online;
• whether the BlogDrip Plugin is connected;
• Plugin status;
• Plugin version;
• publication status;
• whether purchased links remain available;
• placement expiry;
• other required technical information.

50. Enforcement

Where we reasonably believe a Publisher has breached these Publisher Terms, we may take proportionate action.

This may include:

• requesting corrective action;
• temporarily hiding a Website;
• rejecting or suspending a listing;
• withholding disputed funds;
• reversing Publisher earnings where appropriate;
• removing Marketplace approval;
• suspending Publisher functionality;
• suspending the Account;
• terminating the Account.

Serious fraud, security threats or unlawful conduct may result in immediate action.

51. Account Termination

A Publisher may stop offering new placements by deactivating eligible Websites or requesting Account closure.

Account closure does not automatically cancel existing obligations.

Active placements, outstanding orders, escrow, disputes and Publisher withdrawal requests may need to be resolved before the Publisher relationship concludes.

Existing placement obligations may continue where necessary to honour transactions entered into before closure.

52. No Guarantee of Orders or Revenue

Listing a Website on BlogDrip does not guarantee that it will receive orders.

BlogDrip does not guarantee:

• number of Advertisers;
• order frequency;
• Marketplace position;
• Publisher revenue;
• future placement prices;
• Website metrics;
• future commission rates;
• search engine performance.

Marketplace demand may change over time.

53. Search Engines and SEO

BlogDrip does not control Google or any other search engine.

We do not guarantee that content published through the Marketplace will:

• be indexed;
• remain indexed;
• achieve or maintain rankings;
• improve domain metrics;
• generate traffic;
• improve Website authority;
• produce any particular SEO result.

Search engines may change their algorithms, policies and treatment of links at any time.

54. Limitation of Liability

The limitations and exclusions of liability contained in the BlogDrip Terms & Conditions also apply to Publishers.

Nothing in these Publisher Terms excludes or limits liability where doing so would be unlawful.

BlogDrip is not responsible for losses caused solely by independent third-party services or circumstances outside our reasonable control, including:

• search engine algorithm changes;
• hosting failures;
• analytics providers;
• banking delays;
• independent Website outages.

55. Changes to the Publisher Terms

We may update these Publisher Terms to reflect changes to:

• Marketplace functionality;
• Publisher features;
• pricing or commission structures;
• payment or withdrawal processes;
• technical requirements;
• applicable law;
• security requirements.

Where appropriate, we may require acceptance of an updated version before continued use of Publisher functionality.

Changes to pricing or commission structures apply prospectively unless expressly stated otherwise.

56. Governing Law

These Publisher Terms are governed by the laws of England and Wales.

For business Publishers, the courts of England and Wales will have exclusive jurisdiction over disputes arising from these Publisher Terms unless otherwise agreed in writing or required by mandatory applicable law.
